Proposed New Constitutional By-law No. 1 for 2016

Notice to all Members of The Hastings County Historical Society

The Hastings County Historical Society is a not-for-profit corporation operating under the rules of the Ontario government and these rules relating to all aspects of the conduct of our business are set out in our By-Law No. 1.  Recently the Ontario government has updated and simplified these rules and is in the process of passing a new law, the Not-for-Profit Corporations Act 2010 Ontario, which is anticipated will come into effect in 2016. This will mean a re-working of the basic rules of how we operate and conduct our activities. There are no major changes, but a simplification of the wording and procedures. All organizations like ours will be required to bring our practices up to date. Our current rules date back to 1970, so they are 45 years old.

Your Board of Directors has examined our 1970 set of rules in relation to the new rules and has drafted a revised By-Law No. 1.  This By-Law No. 1 is being posted on our website 10 days before the Annual General Meeting and members informed through an announcement in the Outlook newsletter circulated the first week of January 2016.

At the Annual General Meeting on Tuesday, January 19th, 2016, members will be asked to approve the revised By-Law No. 1 by a vote of members present. Below for your perusal is the proposed By-law, followed by three schedules outlining the duties of the President, the Treasurer, and the Secretary. For further information, please feel free to contact Historical Society president, Richard Hughes, at president@hastingshistory.ca
